These clauses are of vital importance to both the manufacturers and representatives.

In the case of manufacturers, they are important because they limit the ability of the representative to service accounts in a certain reasonable geographic area for a reasonable period of time. The applicability of these restrictions is also important to the manufacturers representative whose ability to work in a certain locations for a period of time can be affected if these clauses are upheld in court.
